1. Introduction
Loyal Assistant, Inc., a Delaware corporation doing business as Bravo Care ("Bravo Care," "we," "us," or "our"), operates an online marketplace (the "Platform"), including our website and mobile application, that connects healthcare clinicians ("Clinicians") with healthcare facilities ("Facilities") for temporary and per diem shift-based work engagements. This Privacy Policy describes how we collect, use, disclose, and protect personal information when you access or use our Platform, website, mobile application, and related services (collectively, the "Services"). This Privacy Policy applies to all individuals who access the Services, including registered Users (Clinicians and Facilities) and guest visitors ("Guests") who browse or interact with the Services without creating an Account.
By accessing or using the Services, you acknowledge that you have read and understood this Privacy Policy. If you do not agree with the practices described herein, please do not use the Services. We may update this Privacy Policy from time to time by posting the revised version on our website with an updated "Last Updated" date. We encourage you to review this Privacy Policy periodically.
2. Information We Collect
2.1 Information You Provide to Us
We collect information that you voluntarily provide to us in connection with your use of the Services, including:
Account and Registration Information. When you create an Account, we collect your name, email address, phone number, mailing address, and password. Clinicians may also provide professional credentials, licensure information, certifications, work history, education, specialty, and other professional qualifications. Facilities may provide business name, business address, tax identification number, and authorized representative contact information.
Payment and Tax Information. We collect payment information necessary to process compensation for Clinicians and Service Fees from Facilities. For Clinicians, this may include bank account information, Social Security number or taxpayer identification number, and other information required to issue IRS Form 1099. For Facilities, this may include billing address, bank account information, and other payment-related details.
Profile Information. You may provide additional information for your user profile, such as a profile photograph, biographical information, scheduling preferences, and availability.
Communications. We collect information when you communicate with us or with other Users through the Platform, including the contents of messages, support requests, and feedback.
Other Information. We collect any other information you choose to provide to us, such as responses to surveys, contest entries, or other voluntary submissions.
2.2 Information We Collect Automatically
When you access or use the Services, whether as a registered User or as a Guest, we automatically collect certain information, including:
Device and Usage Information. We collect information about the device you use to access the Services, including device type, operating system, browser type, unique device identifiers, IP address, mobile network information, and mobile advertising identifiers. We also collect information about your usage of the Services, including pages viewed, links clicked, time spent on pages, referring URLs, and app interaction data.
Location Information. We may collect approximate location information based on your IP address. With your consent, we may also collect precise geolocation information from your mobile device to provide location-based features, such as identifying nearby Facilities with available shifts or displaying location-relevant content to Guests.
Cookies and Similar Technologies. We use cookies, pixel tags, web beacons, software development kits ("SDKs"), and similar technologies to collect information about your interactions with the Services, including on our mobile application. Please see Section 7 below for more information about our use of cookies and similar technologies.
2.3 Information We Collect from Third Parties
We may receive information about you from third parties, including identity verification services, background check providers, licensure and credential verification services, payment processors, and publicly available sources. We may combine this information with other information we collect about you.
3. How We Use Your Information
We use the information we collect for the following purposes:
Providing and Improving the Services. To operate, maintain, and improve the Platform; to facilitate connections between Clinicians and Facilities; to process payments and issue tax documentation; to verify credentials and licensure; and to develop new features and services.
Communications. To send you transactional communications, such as shift confirmations, payment notifications, and Account updates; to respond to your inquiries and support requests; and, with your consent where required by law, to send you marketing and promotional communications.
Safety, Security, and Compliance. To protect the safety and security of our Users and the Platform; to detect, investigate, and prevent fraud, abuse, and other harmful activities; to enforce our Terms of Use and other policies; to comply with applicable laws, regulations, and legal processes; and to fulfill our tax reporting obligations, including issuing IRS Form 1099 to Clinicians.
Analytics and Research. To analyze usage trends and preferences; to conduct research and analytics to improve the Services; and to measure the effectiveness of our marketing and advertising efforts.
Personalization. To personalize your experience on the Platform, including by recommending shifts, Clinicians, or Facilities that may be relevant to you.
4. How We Share Your Information
We may share your information in the following circumstances:
Between Clinicians and Facilities. When a Clinician accepts a shift at a Facility, we share relevant information between the parties as necessary to facilitate the engagement. This may include the Clinician's name, professional credentials, and contact information shared with the Facility, and the Facility's name, address, shift details, and contact information shared with the Clinician.
Service Providers. We share information with third-party service providers that perform services on our behalf, such as payment processing, identity verification, background checks, credential verification, data hosting, data analytics, customer support, email delivery, and marketing. These service providers are contractually obligated to use your information only as necessary to perform services on our behalf and in accordance with this Privacy Policy.
Legal Compliance and Protection. We may disclose your information if we believe in good faith that disclosure is necessary to: (a) comply with applicable law, regulation, legal process, or governmental request; (b) enforce our Terms of Use or other agreements; (c) protect the rights, property, or safety of Bravo Care, our Users, or the public; or (d) detect, investigate, or prevent fraud or other illegal activity.
Business Transfers. In the event of a merger, acquisition, reorganization, bankruptcy, asset sale, or similar transaction involving Bravo Care, your information may be transferred as part of that transaction. We will provide notice before your information becomes subject to a different privacy policy.
With Your Consent. We may share your information with third parties when you have given us your consent to do so.
Aggregated and De-Identified Information. We may share aggregated or de-identified information that cannot reasonably be used to identify you with third parties for research, analytics, marketing, or other purposes.
5. Data Retention
We retain your personal information for as long as your Account is active or as necessary to provide you with the Services. We may also retain your information as necessary to comply with our legal and regulatory obligations (including tax recordkeeping requirements), resolve disputes, enforce our agreements, and as otherwise permitted by applicable law. When we no longer have a legitimate business need or legal obligation to retain your information, we will either delete or de-identify it.
6. Data Security
We implement reasonable administrative, technical, and physical safeguards designed to protect your personal information from unauthorized access, use, alteration, and destruction. However, no method of transmission over the Internet or method of electronic storage is completely secure. While we strive to protect your information, we cannot guarantee its absolute security.
7. Cookie Policy
This Section 7 constitutes Bravo Care's Cookie Policy and describes how we use cookies, software development kits ("SDKs"), and similar tracking technologies when you access or use the Services, whether through our website or mobile application, and whether as a registered User or a Guest.
7.1 What Are Cookies and Similar Technologies?
Cookies are small text files that are placed on your device (computer, tablet, or mobile phone) when you visit a website. They are widely used to make websites and applications work more efficiently and to provide information to the operators of the site or app. Similar technologies include pixel tags (also known as web beacons or clear GIFs), local storage objects, SDKs embedded in mobile applications, and device fingerprinting techniques. References to "cookies" in this Section 7 include all such similar technologies unless otherwise specified.
7.2 Types of Cookies We Use
Strictly Necessary Cookies. These cookies are essential for the Platform to function properly and cannot be disabled in our systems. They are typically set in response to actions you take that amount to a request for services, such as setting your privacy preferences, logging in, filling in forms, or using the Platform's core features (e.g., account authentication, session management, security, load balancing, and fraud prevention). Because these cookies are strictly necessary to deliver the Services, you cannot refuse them without impacting how the Platform functions. You can set your browser to block or alert you about these cookies, but some features of the Platform will not work if you do so.
Performance and Analytics Cookies. These cookies allow us to count visits and traffic sources so we can measure and improve the performance of the Services. They help us understand which pages and features are the most popular, how visitors navigate the Platform, and where errors occur. All information these cookies collect is aggregated and therefore anonymous. We may use third-party analytics providers, such as Google Analytics, to assist us in measuring traffic and usage trends. If you do not allow these cookies, we will not know when you have visited our Platform and will not be able to monitor its performance.
Functional Cookies. These cookies enable the Platform to provide enhanced functionality and personalization, such as remembering your preferences, language selections, region, and settings. They may be set by us or by third-party providers whose services we have added to our pages. If you do not allow these cookies, some or all of these features may not function properly.
Targeting and Advertising Cookies. These cookies may be set through the Services by our advertising partners. They may be used by those companies to build a profile of your interests and show you relevant advertisements on other websites and platforms. They do not directly store personal information but are based on uniquely identifying your browser and internet device. If you do not allow these cookies, you will experience less targeted advertising.
Social Media Cookies. These cookies are set by social media services (such as Facebook, LinkedIn, and Twitter) that we may add to the Platform to enable you to share our content with your networks. These cookies are capable of tracking your browser across other sites and building up a profile of your interests, which may impact the content and messages you see on other websites you visit.
7.3 Mobile Application Technologies
In our mobile application, we use SDKs and similar technologies that function like cookies to collect usage data, facilitate analytics, and enable advertising. We may also use mobile device identifiers (such as Apple's IDFA or Google's Advertising ID) for similar purposes. You can manage your preferences for mobile advertising identifiers through your device settings.
7.4 First-Party and Third-Party Cookies
First-party cookies are set by Bravo Care directly when you use the Services. Third-party cookies are set by a domain other than ours. We may allow third parties to place cookies on your device through the Services for the purposes described above, including analytics and advertising. These third parties may have their own privacy policies that govern how they use the information they collect.
7.5 Cookie Duration
Cookies can remain on your device for different periods of time. Session cookies exist only while your browser is open and are automatically deleted when you close your browser. Persistent cookies survive after your browser is closed and can be used to recognize your device when you return to the Services. We use both session and persistent cookies for the purposes described in this Cookie Policy.
7.6 Your Choices Regarding Cookies
Browser Settings. Most web browsers are set to accept cookies by default. You can usually modify your browser settings to decline all or certain cookies or to alert you when cookies are being sent. The "Help" feature on most browsers will tell you how to prevent your browser from accepting new cookies, how to have the browser notify you when you receive a new cookie, and how to disable cookies altogether. Please note that if you choose to disable cookies, some features of the Services may not function properly or may become inaccessible.
Cookie Preference Tools. Where required by applicable law, we provide a cookie consent management tool (such as a cookie banner or preference center) that allows you to accept or reject non-essential cookies when you first visit the Platform and to change your preferences at any time thereafter. You may access this tool by clicking the "Cookie Preferences" or similar link in the footer of our website.
Opt-Out of Interest-Based Advertising. You may opt out of interest-based advertising by visiting the Digital Advertising Alliance's opt-out page at www.aboutads.info/choices, the Network Advertising Initiative's opt-out page at www.networkadvertising.org/choices, or, for European users, the European Interactive Digital Advertising Alliance at www.youronlinechoices.eu. Please note that opting out does not mean you will no longer see advertisements; rather, the advertisements you see will be less relevant to your interests.
Do Not Track Signals. Some browsers offer a "Do Not Track" ("DNT") signal. Because there is no industry-accepted standard for how to respond to DNT signals, we do not currently respond to them. However, we honor opt-out preference signals recognized under applicable state privacy laws (such as the Global Privacy Control).
Mobile Device Settings. You can manage your preferences regarding mobile advertising identifiers through your device's operating system settings. On iOS devices, you can enable "Limit Ad Tracking" or disable personalized ads. On Android devices, you can opt out of ads personalization in Google Settings.
7.7 Updates to This Cookie Policy
We may update this Cookie Policy from time to time to reflect changes in technology, applicable law, or our data practices. Any changes will be reflected in the "Last Updated" date at the top of this Privacy Policy. We encourage you to periodically review this section for the latest information on our use of cookies.

8. Your Rights and Choices
Depending on your state of residence, you may have certain rights with respect to your personal information, including:

Correction. You may have the right to request that we correct inaccurate personal information about you.
Deletion. You may have the right to request that we delete personal information we have collected about you, subject to certain exceptions required by law.
Opt-Out of Sale or Sharing. If applicable under your state's privacy law, you may have the right to opt out of the "sale" or "sharing" of your personal information as those terms are defined under applicable law.
Non-Discrimination. We will not discriminate against you for exercising any of your privacy rights.
To exercise any of these rights, please contact us using the information provided in Section 14 below. We will respond to your request in accordance with applicable law. We may need to verify your identity before fulfilling your request.
Marketing Communications. You may opt out of receiving marketing and promotional emails from us by following the unsubscribe instructions included in such emails. Even if you opt out of marketing communications, we may continue to send you transactional and service-related communications.
9. State-Specific Privacy Disclosures
9.1 California (CCPA / CPRA)
If you are a California resident, you may have rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, the "CCPA"). This section supplements the rest of this Privacy Policy and applies solely to California residents.
Categories of Personal Information Collected. In the preceding twelve (12) months, we have collected the following categories of personal information as defined by the CCPA: (a) identifiers (e.g., name, email address, phone number, IP address, Social Security number); (b) personal information described in California Civil Code Section 1798.80(e) (e.g., name, address, bank account number); (c) characteristics of protected classifications under California or federal law (e.g., age); (d) commercial information (e.g., transaction history, shift history, payment records); (e) internet or other electronic network activity information (e.g., browsing history, interactions with the Services); (f) geolocation data; (g) professional or employment-related information (e.g., licensure, certifications, work history); and (h) inferences drawn from the above categories.
Sources of Personal Information. We collect personal information from the sources described in Section 2 of this Privacy Policy, including directly from you, automatically through the Services, and from third-party sources.
Purposes for Collection and Use. We collect and use personal information for the business and commercial purposes described in Section 3 of this Privacy Policy.
Disclosure of Personal Information. In the preceding twelve (12) months, we have disclosed the categories of personal information identified above for business purposes to the categories of third parties described in Section 4 of this Privacy Policy.
Sale and Sharing of Personal Information. We do not "sell" personal information as that term is traditionally understood (i.e., for monetary consideration). However, like many companies, we may use certain advertising technologies that could be considered "selling" or "sharing" personal information under the CCPA. You have the right to opt out of such activities by contacting us as set forth in Section 13 or, where available, by clicking the "Do Not Sell or Share My Personal Information" link on our website or mobile application.
Sensitive Personal Information. We may collect sensitive personal information, including Social Security numbers, financial account information, and precise geolocation data. We use this information only for purposes permitted under the CCPA, such as processing payments, issuing tax documentation, and providing the Services.
Your California Privacy Rights. As a California resident, you have the following rights under the CCPA: (a) the right to know what personal information we collect, use, disclose, sell, and share; (b) the right to request deletion of your personal information; (c) the right to correct inaccurate personal information; (d) the right to opt out of the sale or sharing of your personal information; (e) the right to limit the use and disclosure of your sensitive personal information; and (f) the right to not be discriminated against for exercising your CCPA rights. To exercise these rights, please contact us as set forth in Section 14. You may also designate an authorized agent to make requests on your behalf by providing written authorization.
Retention. We retain personal information for the periods described in Section 5 of this Privacy Policy.
California "Shine the Light" Law. Under California Civil Code Section 1798.83, California residents who have an established business relationship with us may request information about our disclosure of personal information to third parties for their direct marketing purposes. To make such a request, please contact us as set forth in Section 14.
9.2 Virginia (VCDPA)
If you are a Virginia resident, you may have the following rights under the Virginia Consumer Data Protection Act ("VCDPA"): (a) the right to confirm whether we are processing your personal data and to access such data; (b) the right to correct inaccuracies in your personal data; (c) the right to delete your personal data; (d) the right to obtain a copy of your personal data in a portable and readily usable format; and (e) the right to opt out of the processing of your personal data for purposes of targeted advertising, the sale of personal data, or profiling in furtherance of decisions that produce legal or similarly significant effects. 9.7 Utah (UCPA)
If you are a Utah resident, you may have the following rights under the Utah Consumer Privacy Act ("UCPA"): (a) the right to confirm whether we are processing your personal data and to access such data; (b) the right to delete your personal data; (c) the right to obtain a copy of your personal data in a portable and readily usable format; and (d) the right to opt out of the processing of your personal data for purposes of targeted advertising or the sale of personal data. 9.8 Montana (MCDPA)
If you are a Montana resident, you may have the following rights under the Montana Consumer Data Privacy Act ("MCDPA"): (a) the right to confirm whether we are processing your personal data and to access such data; (b) the right to correct inaccuracies in your personal data; (c) the right to delete your personal data; (d) the right to obtain a copy of your personal data in a portable and readily usable format; and (e) the right to opt out of the processing of your personal data for purposes of targeted advertising, the sale of personal data, or profiling in furtherance of decisions that produce legal or similarly significant effects. 9.9 Illinois (BIPA)
If you are an Illinois resident and we collect biometric identifiers or biometric information (as defined under the Illinois Biometric Information Privacy Act, 740 ILCS 14/1 et seq. ("BIPA")), we will not collect, capture, or otherwise obtain your biometric identifiers or biometric information without first providing you with written notice and obtaining your written consent. We will not sell, lease, trade, or otherwise profit from your biometric identifiers or biometric information. We will store, transmit, and protect biometric identifiers and biometric information in a manner that is the same as or more protective than the manner in which we store, transmit, and protect other confidential and sensitive information. We will permanently destroy biometric identifiers and biometric information when the initial purpose for collecting such information has been satisfied or within three (3) years of your last interaction with us, whichever occurs first.
9.10 Washington (My Health My Data Act)
If you are a Washington State resident, you may have rights under the Washington My Health My Data Act with respect to "consumer health data" as defined thereunder. We will not collect, share, or sell consumer health data without first obtaining your consent, except as otherwise permitted by law. You have the right to: (a) confirm whether we are collecting, sharing, or selling your consumer health data; (b) request access to your consumer health data; (c) request deletion of your consumer health data; and (d) withdraw consent to the collection, sharing, or sale of your consumer health data. 9.11 Nevada
If you are a Nevada resident, you have the right to direct us not to sell your covered information (as defined under Nevada Revised Statutes Chapter 603A). To exercise this right, please contact us as set forth in Section 14.
9.12 Other State Privacy Laws
Residents of other states with comprehensive data privacy legislation, including but not limited to Iowa, Indiana, Tennessee, Delaware, New Hampshire, New Jersey, Nebraska, Maryland, Minnesota, Kentucky, and other states with applicable data privacy statutes, may have rights similar to those described in Section 8 above. We will honor your rights in accordance with the laws of your state of residence. As additional state privacy laws take effect, we will update this Privacy Policy to reflect applicable requirements, please contact us as set forth in Section 14.
11. Accessibility of This Privacy Policy
Bravo Care is committed to ensuring that this Privacy Policy and our privacy practices are accessible to all individuals, including those with disabilities. If you have difficulty accessing this Privacy Policy or need it in an alternative format, please contact us using the information provided in Section 13 and we will make reasonable efforts to provide this Privacy Policy in a format that is accessible to you.
12. Third-Party Links
The Services may contain links to third-party websites, applications, or services. This Privacy Policy does not apply to such third-party services, and we are not responsible for the privacy practices of any third party. We encourage you to review the privacy policies of any third-party services that you access through the Platform.
13. Changes to This Privacy Policy
We may update this Privacy Policy from time to time. If we make material changes, we will notify you by posting the updated Privacy Policy on our website and updating the "Last Updated" date at the top of this page. We may also provide additional notice, such as by sending you an email or displaying a notice within the Platform. Your continued use of the Services after the effective date of any updated Privacy Policy constitutes your acceptance of the revised Privacy Policy.
